Division (iv)
United Kingdom
At the expense of HRE, the Trustee may appoint advisors (in particular for corporate finance or legal advice), subject to HRE’s approval (this approval not to be unreasonably withheld or delayed) if the Trustee considers the appointment of such advisors necessary or appropriate for the performance of its duties and obligations under the mandate, provided that any fees and other expenses incurred by the Trustee are reasonable. Should HRE refuse to approve the advisors proposed by the Trustee, the Commission may approve the appointment of such advisors instead, after having heard HRE. Only the Trustee will be entitled to issue instructions to the advisors. Paragraph C(iii) will apply mutatis mutandis. The Divestiture Trustee may use advisors who served HRE during the divestiture period if the Divestiture Trustee considers this to be in the best interest of an expedient sale.
