  "heading": "The Council shall take decisions by simple majority, qualified majority or unanimity as follows:",
  "text": "(a) Decision by simple majority of those present:\n(i) Approval of the annual accounts;\n(ii) Approval of the Programme Manager annual report of activities;\n(iii) Appointment of financial auditors;\n(iv) Appointment of the Management Board;\n(v) Appointment of the STAG; and\n(vi) All other decisions which are not expressly required to be taken by qualified majority or by unanimity.\n(b) Decision by two-thirds majority of those with voting rights present or represented, and representing two-thirds of the voting rights (qualified majority):\n(i) Approval of the annual budget;\n(ii) Proposal for amending the Statutes;\n(iii) Election of the Chair of the Council;\n(iv) Appointment of the Programme Manager;\n(v) Determination of the adherence terms and procedure for new Members and Observers;\n(vi) Admission of Members;\n(vii) Admission of Observers;\n(viii) Establishing, amending, and approving the Internal Working Procedures;\n(ix) Deciding and amending the minimum contributions due by Members and Observers;\n(x) Determining the modification of voting rights required to ensure that Euro-Argo ERIC complies with the second paragraph of Article 11;\n(xi) Establishing and amending the methods and licensing regarding the exploitation of intellectual property rights;\n(xii) Transferring the official address and the Statutory Seat and registered office address of Euro-Argo ERIC to another Member State of the European Union or associated country;\n(xiii) Winding-up of Euro-Argo ERIC; and\n(xiv) Continuation or termination of Euro-Argo ERIC.\n(c) Decision by unanimity less the voice of the Member concerned concerning the expulsion of a Member.",
