United Kingdom

This paragraph applies in relation to an offer of securities where, to the extent that the offer is made to persons in the United Kingdom—

(a)

the condition specified in any one of the paragraphs of sub-paragraph (1) of paragraph 3 below is satisfied in relation to the offer; or

(b)

paragraph 4 below applies in relation to the offer.
