Paragraph 40 Rule 7.8

(1)

In paragraph (5) of Rule 7.8—

(a)

the words “(1) or (2)” shall be replaced by the words “(2) or (3)”; and

(b)

there shall be inserted at the end of that paragraph the words “and notice of the adjourned meeting may be given by the chairman”.

(2)

After paragraph (6) of that Rule, there shall be inserted the following paragraph:—

“(7)

Where a company meeting at which a resolution for voluntary winding up is to be proposed is adjourned without that resolution having been passed, any resolution passed at a meeting under section 98 held before the holding of the adjourned company meeting only has effect on and from the passing by the company of a resolution for winding up.”.
